Agreement

These terms govern your use of the Proofox website. Where we provide services to you, a separate written engagement agreement or statement of work applies and takes precedence over these terms in the event of any conflict.

Use of this website

You may use this site for lawful purposes only. You must not attempt to gain unauthorised access to any part of it, introduce malicious code, or use automated systems in a way that imposes an unreasonable load on our infrastructure.

Intellectual property

All content on this website, including text, design, code, graphics and logos, is owned by Proofox Technology Private Limited or licensed to us, and is protected by applicable intellectual property law. You may not reproduce it commercially without written permission.

Work produced for clients transfers to the client on full payment as set out in the relevant engagement agreement. This includes source files, code repositories and account ownership.

Services

• Scope, fees, timelines and deliverables are defined in a written engagement agreement or statement of work.
• Project work is quoted as a fixed fee against a fixed scope. Changes to scope are agreed in writing before work begins.
• Retainers run monthly with 30 days' written notice from either party.
• Media spend is billed directly to the client's own advertising accounts and is not marked up by Proofox.

Client responsibilities

• Providing timely access to systems, accounts and information necessary for delivery.
• Providing feedback and approvals within agreed timeframes.
• Ensuring that materials you supply do not infringe third-party rights.
• Holding final responsibility for regulatory and legal compliance of published material.

Warranties and limitations

We provide services with reasonable skill and care. We do not guarantee specific search rankings, advertising performance or business outcomes, as these depend on factors outside our control including third-party platform behaviour and market conditions.

To the extent permitted by law, our total liability arising out of any engagement is limited to the fees paid to us in the three months preceding the claim. We are not liable for indirect or consequential loss, including loss of profit or revenue.

Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of the engagement. This obligation survives termination.

Governing law

These terms are governed by the laws of India. The courts of Jaipur, Rajasthan have exclusive jurisdiction over any dispute.
